TERMS & CONDITIONS

Effective from 26.10.2026

1. General

These terms apply to agreements between Uproof Oy, operating under its auxiliary business name Slope Graphics (Business ID 3132756-7, "Slope Graphics"), and the client.

Slope Graphics sells graphic design, web design, social media and photography services to companies, associations and other organisations only. Services are not sold to consumers.

These terms apply when services are ordered through our website, by email or through another communication channel. If a quote or separate agreement states otherwise, the quote or agreement prevails.

2. Quotes, orders and agreement

Slope Graphics prepares a quote for each assignment, stating the scope of work, price, schedule, number of revision rounds and scope of the licence.

The agreement is formed when the client accepts the quote by email or in another verifiable way. By accepting the quote, the client also accepts these terms.

3. Prices and payment

Prices in quotes are stated excluding VAT. VAT is added at the applicable rate.

  • Advance payment: for commissioned work, 50% of the total price is invoiced before work begins, unless otherwise agreed. Work begins once the advance payment has been received, unless otherwise agreed. If the advance payment is not paid by the due date, Slope Graphics may cancel the order.

  • Final payment: the remaining amount is invoiced when the work is complete. Final files are delivered once the full amount has been paid.

  • Instalments: for longer assignments, payment instalments may be agreed separately.

  • Invoicing: invoices are sent by email or as e-invoices. A paper invoice fee of €10 + VAT applies.

  • Additional work: work beyond the agreed scope is invoiced at an hourly rate of €85 + VAT.

  • Late payments: late payments are subject to statutory late payment interest under the Finnish Interest Act. A payment reminder fee of €20 is charged. Slope Graphics is also entitled to a fixed €40 compensation for recovery costs under the Finnish Act on Payment Terms in Commercial Contracts. If payment is not made after a reminder, the debt is transferred to a collection agency, and the client is liable for the collection costs.

4. Execution of work and revision rounds

The client provides the information, materials and feedback required for the work on the agreed schedule, and informs Slope Graphics of the intended use of the work and any specific requirements. If information or feedback is delayed, Slope Graphics may adjust the schedule and invoice any additional work caused by the delay.

The price includes 1–2 revision rounds depending on the service. The number of rounds is stated in the quote. In each revision round, the client provides consolidated feedback in one go. Additional rounds and changes that depart from the approved draft or the original brief are invoiced at an hourly rate of €85 + VAT.

Slope Graphics may use subcontractors. Slope Graphics is responsible for the work of its subcontractors as for its own.

5. Delivery

Finished work is delivered electronically via a cloud service in the format agreed in the quote. The delivery time is agreed in the quote.

6. Complaints

The client must inspect the delivered work and report any defects in writing within 14 days of delivery. Slope Graphics will correct defective work free of charge. Work carried out in accordance with a draft or proof approved by the client is not considered defective.

7. Cancellation

Cancellations must be made in writing, for example by email.

Commissioned work

  • Before work begins, the client may cancel the order free of charge, and any advance payment will be refunded.

  • After work has begun, the client pays for the work completed so far at an hourly rate of €85 + VAT, at least the amount of the advance payment and at most the agreed total price.

  • If the client stops the work after a draft has been approved, the client pays the full agreed price.

Somepäivä and other date-specific services

  • At least 14 days before the agreed date: cancellation is free of charge, and the date can be rescheduled once at no cost.

  • 7–13 days before the agreed date: 50% of the service price is charged.

  • Less than 7 days before the agreed date: the full service price is charged.

If Slope Graphics has to cancel an agreed date, for example due to illness, a new date will be agreed at no extra cost. If no new date can be agreed, any payments made will be refunded.

8. Content and client responsibility

The client is responsible for the accuracy and lawfulness of the materials it provides, such as texts, images and logos, and for holding the necessary rights to them. Slope Graphics is responsible for obtaining third-party rights only when this is included in the order.

Slope Graphics is responsible for text content only if content production has been ordered. Even then, the client must check the factual accuracy of the content. Once the client has approved a proof, Slope Graphics is not responsible for errors discovered after printing or publication.

9. Copyright and licence

Definitions. "Work" means all drafts, drawings, images and finished works created in connection with graphic design, illustration, photography, and web design and development. "Reproduction" means making copies of a work by printing, duplicating, digital copying or any other means.

Copyright. Copyright in the works remains with Slope Graphics unless its transfer is agreed separately in writing.

Licence. Once the work has been paid for in full, the client may use, reproduce and publish the work for the purpose and to the extent agreed in the quote. Use for any other purpose requires the consent of Slope Graphics, and Slope Graphics is entitled to additional compensation.

Logos and visual identity. For logo work, once paid in full, the client receives an unlimited licence to use the logo in its own operations. The logo may be used in different sizes and in the colour versions delivered. Transfer of copyright and the right to modify the logo may be agreed separately.

Modifications. The work may not be modified without the permission of Slope Graphics, except for minor technical corrections, resizing and use of the agreed versions. The work may not be made available to the public in a manner or context that is prejudicial to the author's artistic reputation or individuality.

Attribution. When the work is published, the author is credited in accordance with good practice.

Drafts. Drafts and rejected proposals remain with Slope Graphics. The client may not use, publish, copy or share them with third parties without the consent of Slope Graphics.

Photographs and illustrations. The licence for photographs and illustrations is agreed case by case in writing, depending on the intended use.

Portfolio. Slope Graphics may present the work and its drafts as work samples, for example in its portfolio, on its website and on social media, unless otherwise agreed. Confidential work is presented only after it has been published.

10. Websites

Platform, domain and accounts. Websites are built on the publishing platform agreed in the quote, such as Wix. The domain name and the platform account are registered in the client's name, and the client pays their costs directly to the service provider, unless otherwise agreed. If Slope Graphics acquires them on the client's behalf, they will be transferred to the client on request once all invoices have been paid.

Access. The client grants Slope Graphics the access rights required for the work and maintenance, for example as a collaborator on the publishing platform.

Content and publication. The client provides the website's texts and images, unless content production has been ordered. The website is published once the client has approved it.

Third-party services. The publishing platform, domain name and any add-ons are third-party services whose terms the client must comply with. Slope Graphics is not responsible for their functionality, pricing or changes to their terms.

Data protection and accessibility. The website is built in accordance with good practice. If statutory accessibility requirements apply to the client's website, the required level is agreed in the quote. The client is responsible for the website's privacy policy, cookie settings and any accessibility statement, unless their preparation is included in the order.

Right to use and modify. Once the website has been paid for in full, the client may use and modify the finished website in its own operations. Slope Graphics may also use the general structures and technical solutions used in the website in its other work.

Maintenance. Maintenance is not included in building the website, unless otherwise agreed. The content, price and response times of maintenance are agreed in a maintenance agreement. The maintenance agreement is valid until further notice, and either party may terminate it with 30 days' notice.

End of maintenance. When maintenance ends, Slope Graphics hands over the necessary credentials and files to the client and removes its own access rights. Migrating the website to another platform is not included in the price.

11. Archiving of materials

Slope Graphics keeps finished work and its source files in its archive so that they can be used in future assignments. However, Slope Graphics is not obliged to retain materials, and the client is responsible for saving the delivered files.

If the client requests previously delivered material again, the time spent locating and delivering it may be invoiced at the hourly rate.

12. Personal data

Slope Graphics processes the personal data of client contact persons in accordance with its privacy policy.

If Slope Graphics processes personal data on behalf of the client in connection with an assignment, for example when maintaining the client's website, a separate data processing agreement will be concluded.

13. Limitation of liability

The liability of Slope Graphics is in all cases limited to the price of the assignment in question, excluding VAT. Slope Graphics is not liable for indirect damages, such as loss of profit, loss of revenue or damage caused to third parties.

This limitation does not apply to damage caused intentionally or through gross negligence.

Slope Graphics is not liable for delays caused by the client, third parties chosen by the client, or disruptions in cloud or telecommunications services.

14. Force majeure

Neither party is liable for delays or damage caused by an impediment beyond its control that it could not reasonably have taken into account when the agreement was made. Such impediments include, for example, illness, natural phenomena, widespread telecommunications disruptions and actions by authorities. The party must notify the other party of the impediment without delay.

15. Changes to these terms

Slope Graphics may update these terms. Each order is governed by the terms in effect at the time the order is placed.

16. Governing law and disputes

These terms are governed by Finnish law. The parties will primarily seek to resolve disputes through negotiation. If no agreement is reached, disputes will be settled in the District Court of Kymenlaakso.

In the event of any discrepancy between the Finnish and English versions, the Finnish version prevails.
